1. Acceptance of Terms

By accessing or using Huxly (“Service”), operated by Huxly LLC (“Company”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of the terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

You must be at least 16 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Huxly is an AI-powered mobile application development platform that enables users to create, design, and deploy mobile applications using React Native (Expo), Flutter, and SwiftUI frameworks. The Service includes AI-assisted code generation, design tools, preview capabilities, and deployment features.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information remains accurate and up-to-date

The Service may also be accessed programmatically, including through Model Context Protocol (MCP) servers and connected AI agents or clients. Any such access forms part of the Service and is subject to these Terms, including the Acceptable Use and payment provisions. AI features used this way consume usage credits in the same manner as the web interface, and you are responsible for safeguarding any access tokens or credentials you use and for all activity conducted through them.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the intellectual property rights of others
  • Create malicious software, malware, or harmful applications
  • Build applications that violate Apple App Store or Google Play policies
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service or servers
  • Generate content that is illegal, harmful, or offensive

5. Intellectual Property

You retain ownership of all code and content you create using the Service. However, Huxly and its licensors retain all rights to the Service, including but not limited to the platform, AI models, templates, and documentation. The code generated by our AI is provided for your use, but you are responsible for ensuring compliance with any third-party and open-source licenses.

6. AI-Generated Content and Disclaimer

The Service uses artificial intelligence to generate code, designs, configuration, and related output (collectively, “AI Output”). AI Output is produced automatically and:

  • may contain errors, bugs, or security vulnerabilities, or may not function as intended;
  • may be inaccurate, incomplete, or unsuitable for your particular purpose;
  • may unintentionally resemble existing code and could implicate third-party intellectual property or open-source license obligations;
  • is not reviewed by us for correctness, security, legality, or fitness for any purpose.

You are solely responsible for reviewing, testing, securing, and validating all AI Output before relying on it, deploying it, or publishing any application built with it (including to the Apple App Store or Google Play). We make no warranty that AI Output is accurate, secure, non-infringing, or fit for any purpose, and you assume all risk arising from your use of AI Output.

7. Payments, Subscriptions, and Credits

Certain features of the Service require a paid subscription. Payments are processed by our third-party payment processor. We do not collect or store your full payment card details. By subscribing to a paid plan, you authorize us and our payment processor to charge your payment method for all fees associated with your selected plan.

Automatic renewal. Subscriptions are billed in advance on a recurring basis (monthly or yearly, as selected) and automatically renew at the then-current price until you cancel. You may cancel at any time from your account settings or the billing portal. Cancellation takes effect at the end of your current billing period, and you retain access until then. See our Cancellation Policy for details.

Credits. Paid plans include a monthly allotment of usage credits. Credits are a license to use the Service's AI features—they are not money, have no cash value, and are non-transferable and non-refundable except as stated in our Cancellation Policy. Subscription credits reset at each renewal and do not roll over; separately purchased top-up credits do not expire at renewal. When you upgrade mid-cycle, the change is prorated and the new plan's credits are added to your balance; downgrades take effect at the end of the current billing period.

We reserve the right to modify pricing with 30 days' notice to existing subscribers. Fees are non-refundable except as required by law or as stated in our Cancellation Policy.

8. Third-Party Services

The Service integrates with and relies on third-party services, including payment processing, AI providers (such as OpenAI, Google, and Anthropic), cloud infrastructure and hosting, and developer tools you choose to connect (such as code repositories and backend services). Your use of these integrations is subject to their respective terms of service. We are not responsible for the acts, omissions, availability, or content of third-party services.

9. Disclaimer of Warranties

THE SERVICE AND ALL AI OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED, AND WE DO NOT GUARANTEE ANY LEVEL OF UPTIME OR AVAILABILITY. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

10. Limitation of Liability

To the maximum extent permitted by law, Huxly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service or any AI Output. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Huxly LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service or any AI Output; (b) any application or content you create, deploy, or distribute using the Service, including any claim that it infringes third-party rights or violates any law or app-store policy; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

12. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service will cease immediately. You may export your data before termination.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules.

Informal resolution. Before filing a claim, you agree to first try to resolve the dispute informally by contacting us at info@huxly.app. We will try in good faith to resolve it for 30 days from receipt.

Binding arbitration and class-action waiver. Any dispute not resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court—except that either party may bring a claim in small-claims court or seek injunctive relief for intellectual-property or unauthorized-access claims. YOU AND HUXLY AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.

To the extent any dispute proceeds in court, the state and federal courts located in Wyoming shall have exclusive jurisdiction and venue, and you consent to personal jurisdiction there.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
